Acceptance of Terms

Welcome to Forge the Team ("FTT", "we", "us", or "our"). These Terms and Conditions govern your access to and use of the Forge the Team mobile application, website, and associated services (collectively, the "Platform").

By creating an account, accessing, or using the Platform in any way, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Platform.

Eligibility

To use the Platform, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding contract
• Not be prohibited from using the Platform under applicable law
• Provide accurate, complete, and current registration information

By registering, you represent and warrant that you meet all of the foregoing eligibility requirements. If you are using the Platform on behalf of an organisation, you further represent that you are authorised to bind that organisation to these Terms.

Platform Use

The Platform is designed to connect founders and investors through video-first interactions. You agree to use the Platform only for its intended purpose and in compliance with all applicable laws and regulations.

You agree not to:

• Misrepresent your identity, credentials, or investment capacity
• Use the Platform to solicit investments in breach of applicable securities laws
• Harass, threaten, or abuse other users of the Platform
• Upload content that is defamatory, fraudulent, obscene, or harmful
• Attempt to reverse-engineer, scrape, or exploit the Platform's systems
• Use automated tools, bots, or scripts to access or interact with the Platform
• Share your account credentials with third parties

We reserve the right to remove any content and suspend or terminate any account that we determine, in our sole discretion, violates these Terms or is otherwise harmful to the Platform or its users.

User Content

You retain ownership of all content you submit to the Platform, including video pitches, profile information, and messages ("User Content"). By submitting User Content, you grant Forge the Team a non-exclusive, worldwide, royalty-free licence to use, host, reproduce, and display that content solely for the purpose of operating and improving the Platform.

You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your User Content does not infringe any third-party intellectual property rights
• Your User Content is truthful, accurate, and not misleading
• Your User Content complies with all applicable laws, including securities and financial promotion regulations

We do not endorse, verify, or take responsibility for any User Content on the Platform. You use User Content at your own risk.

Intellectual Property

All rights, title, and interest in and to the Platform — including its design, software, algorithms, branding, and all content created by Forge the Team — are and will remain the exclusive property of Forge the Team Ltd. Nothing in these Terms grants you any right to use the Forge the Team name, logo, or trademarks without our prior written consent.

Payments & Subscriptions

Certain features of the Platform may require payment. All fees are quoted in GBP (unless otherwise stated) and are inclusive of applicable taxes. By subscribing to a paid tier, you authorise us to charge the applicable fees to your chosen payment method on a recurring basis.

Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. Refunds are issued at our discretion and are not guaranteed except where required by applicable consumer protection law.

Disclaimers

The Platform is provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.

Forge the Team is not a financial adviser, broker, or investment platform. Nothing on the Platform constitutes financial, legal, or investment advice. All investment decisions are made solely at your own risk. You should seek independent professional advice before making any investment.

Limitation of Liability

To the fullest extent permitted by applicable law, Forge the Team and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, arising out of or in connection with your use of the Platform.

Our aggregate liability for any claims relating to the Platform shall not exceed the greater of (a) the total fees you paid to us in the 12 months preceding the claim, or (b) £100.

Termination

We may suspend or terminate your access to the Platform at any time, with or without notice, if we believe you have violated these Terms or if your use poses a risk to other users or to the Platform. You may delete your account at any time via the in-app settings.

Upon termination, your licence to use the Platform will immediately cease. Sections relating to intellectual property, disclaimers, limitation of liability, and governing law shall survive termination.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or via an in-app notification at least 14 days before the changes take effect. Your continued use of the Platform after the effective date constitutes your acceptance of the updated Terms.
